Mike is an associate in the business law department. He focuses his practice on securities, mergers and acquisitions and corporate law. Mike has advised public and private companies and investment banks in various mergers and acquisitions and corporate finance transactions, including high-yield and investment grade debt offerings, exchange offers, tender offers and consent solicitations. Mike also advises companies on securities, general corporate and compliance matters, including the Sarbanes-Oxley Act of 2002, filings with the Securities and Exchange Commission and corporate governance. Prior to his legal career, Mike practiced as a Certified Public Accountant in Atlanta, Georgia.
Representative Matters
Represented an investment bank as dealer-manager in a $150 million fixed-spread debt tender offer and consent solicitation by a cable television and radio broadcasting company.
Represented a publicly-traded bottling company in a $165 million exchange offer of a new series of senior notes for two series of outstanding debentures.
Represented a publicly-traded snack food manufacturer in its acquisition of another publicly-traded snack food manufacturer in a bankruptcy court directed auction.
Represented the leading online lending exchange in its $734 million acquisition by another public company.
Represented a publicly-traded bottling company in its $150 million and $100 million senior note offerings.
Represented an investment bank as initial purchaser in a $150 million high-yield debt offering by a cable television and radio broadcasting company.
