Michael Csar Biography :

Michael F. Csar is a partner who maintains an active and sophisticated practice in both real estate finance and corporate matters.

Michael concentrates his legal practice in project development and financing and in the structuring and implementation of business entities and strategies. In corporate financing, he has represented an international professional service organization in more than a billion dollars of financings through term loans, revolving credits and special credit facilities with U.S., European and other international financing sources. In real estate financing, Michael represented the lead lender in the largest single-building financing in Chicago’s real estate history, both in the multiparty, tiered initial financing and in the subsequent equity and debt restructuring. Throughout his practice, he brings to his clients the benefits of an interdisciplinary breadth of view and expertise.

The following practice highlights reflect Michael’s strategic role in his service to clients:

Counsel to a publicly traded national real estate investment trust in acquisitions, contribution/exchange transactions and financings, including acquisitions of properties in exchange for units in the REIT’s operating partnership, acquisition of related businesses, establishment of joint ventures and construction financing for development and expansion of investment properties.

Special counsel to a international business consulting company, including representation with respect to strategic reorganization of company and international affiliates and representation with regard to internal arrangements for transfers of equity interests.

Principal counsel for national family investment and operating interests, with substantial holdings in the Chicago area and operations in other areas of the country. Representation has included establishment of family management corporation, unification of disparate family interests into partnerships; conversions of partnerships to limited liability companies; internal and external financings; real estate development, leasing operations and joint ventures; acquisition of related service and business operations; merger into national real estate investment trust.

Representation of independent directors in conversion and merger of four closed end mutual funds into newly created publicly traded real estate investment trust.

Special counsel to the worldwide headquarters of an international professional service organization; advisory role in the structuring and restructuring of national operating practice entities and their relations with international coordinating/management entity; counsel for national and international financings; negotiation and drafting of international computer leasing/asset management program; negotiation of practice group acquisition.

General corporate counsel to offshore insurance company for association of professional service entities; representation of company in restructuring and arrangements with insureds.

Counsel to first mortgage lender in largest single building mortgage financing in Chicago, including arrangements among lenders, equity owner and option interest holder; negotiation and drafting of substantial restructuring of all financial interests.

Service as outside general counsel of Chicago-based publicly traded real estate investment trust; lead counsel role in company’s real estate development, operations and financings, and negotiation of joint ventures, partnerships, ground leases, construction contracts, management agreements and other contractual arrangements.

Representation of master lessee in structuring and negotiation of acquisition of multistate pooled portfolio of senior living facilities, with individual fee ownership entities and single master ground lessee, management agreement back to developer/operator, fee mortgage financing and operating credit support to master lessee.

Representation of developer in mixed-use office and residential high rise in downtown Chicago, with private subdivision of office and residential portions; negotiation of cash flow and shared equity participating mortgage financing.

Representation of health care institutions in off-balance sheet financing and monetizing of noncore real estate interests through sales and leasebacks, equity trust and lease structures, and other financing vehicles.

Representation of owner in acquisition, land-planning, zoning, development and financing of 150-acre suburban corporate campus, including all negotiations with local governmental authorities.

Representation of principal owner/master developer in development of 40-acre mixed-use urban planned unit development, including design and drafting of master private development rights agreement, master private covenants and restrictions, and public/private cooperative arrangements in the establishment, use and control of public open areas.

Representation of institutional owners and corporate tenants in Chicago and suburban office leasing.
