Notable Engagements:
Represented Dobson Communications Corporation in the $2.8 billion sale of the company to AT&T Inc.
Represented TransCanada Corporation in its $3.4 billion acquisition from El Paso Corporation of ANR Pipeline Company, ANR Storage Company and an additional interest in Great Lakes Gas Transmission Limited Partnership.
Represented Starwood Capital Group Global in the EUR 660 million sale of the Taittinger champagne and Domaine Carneros and Bouvet-Ladubay wine and sparkling wine businesses.
Represented ProLogis in its acquisition of Catellus Development Corporation (estimated enterprise value of $5.5 billion as of the date of announcement).
Represented Chemtura in its merger with Great Lakes Chemical, in which Great Lakes Chemical became a subsidiary of Chemtura (estimated enterprise value of $1.8 billion as of the date of announcement).
Represented General Motors Corporation in the sale of its Electro-Motive Division (EMD) to an investor group led by Greenbriar Equity Group and Berkshire Partners.
Represented TransCanada Corporation in its $1.7 billion acquisition of Gas Transmission Northwest Corporation, a subsidiary of National Energy & Gas Transmission, Inc.
Represented ProLogis and a partnership formed by ProLogis and four affiliates of investment funds management by Eaton Vance Management in connection with the partnership’s $1.7 billion acquisition of Keystone Property Trust.
Represented GE Real Estate in its sale of Security Capital Research & Management to Banc One Investment Advisors.
