Maurice J. Montaldi is a Partner in the firm's Real Estate Transactions Group. He practices in the areas of business law and real estate development, with particular emphasis on venture formation, property acquisition, financing and commercial leasing. He has structured several real estate development entities, and he has negotiated and closed numerous conventional construction and permanent loans, as well as many sophisticated forms of financing. For example, Mr. Montaldi has recently served as lead counsel for the developer or owner entity on well over $750,000,000 in financing transactions involving both participating and convertible loan features and secured by some of the more high-profile projects in the Washington, D.C. area. While Mr. Montaldi is highly experienced in structuring real estate venture and finance transactions, his real estate practice also includes extensive involvement in the acquisition and disposition of commercial real property, including tax-deferred exchanges. He is also very active in both office and retail leasing, including counseling landlords and structuring workout agreements with office and retail tenants. Mr. Montaldi's experience also includes acting as outside general counsel for a federal savings bank responsible for all regulatory compliance matters throughout the bank's operations. He documented and closed all the bank's loans secured by commercial real property, and also prepared the program documents for the bank's special residential lending programs, including adjustable rate loans, buy-down programs and home equity loans at the very inception of the respective program. He also acted as lead litigation counsel at both the trial and appellate levels in multiple actions arising out of the bank's operations.
