Matthew Eisenberg's practice focuses on representing investment advisers, hedge funds, funds of funds, offshore funds, private equity funds, other investment funds, third party marketers, and broker-dealers. Mr. Eisenberg advises as to all aspects of the fund structuring and formation process, preparation and review of fund offering documents and marketing materials, SEC and state investment adviser registration, SEC and state broker-dealer registration, NASD membership, preparation and negotiation of marketing/introduction agreements, seed financing transactions, leverage and derivative transactions, ongoing compliance matters, and regulatory examinations.
