Martin H. Neidell provides general corporate and securities laws representation. He has particular expertise with mergers and acquisitions, tender offers, public and private securities offerings, private equity, and secured and unsecured financings. He also has participated in consolidations of entities in the automobile dealership, oil, legal support, paging, radio, and television industries.
He represents a number of prominent clients including prior representation of one of the largest independent oil refiners in the U.S. Mr. Neidell also represents several publicly owned real estate investment trusts.
Mr. Neidell represented Tosco Corporation, the nation’s largest independent oil refiner, for more than 25 years. During this time, he represented them in connection with all their acquisitions, including acquisitions of oil refineries and gasoline stations (including the East Coast stations owned by ExxonMobil Corporation). He also represented them in all their financing transactions, including synthetic lease financings, public and private debt and equity offerings and revolving credit facilities. This representation culminated in connection with Mr. Neidell’s representation of Tosco in its $7.5 billion merger with Phillips Petroleum Company.
Mr. Neidell represented Premcor Inc., a large independent oil refiner, in acquisitions and equity and debt offerings. He acted as counsel to Premcor in connection with its $8 billion merger with Valero Energy Corporation. Mr. Neidell represented Chelsea Property Group, Inc., the most prominent owner and operator of manufacturers’ outlet centers. He represented them in their initial public offering in 1993 and subsequent acquisitions and public equity and debt financings. He acted as counsel to Chelsea in connection with its $4.8 billion merger with Simon Property Group.
Mr. Neidell also represented Orion Power Holdings, Inc. in its initial public offering of common stock and subsequent public equity and debt financings. He acted as counsel to Orion in connection with its $3.5 billion merger with Reliant Energy, Inc.
Prior to joining Stroock in 1973, Mr. Neidell served for two years as a law clerk to U.S. District Court Judge Joseph C. Zavatt in the Eastern District of New York.
