Mark Kelson has an extensive background in corporate securities, capital markets and merger and acquisition transactions. Mr. Kelson represents clients in diverse fields such as financial services, including investment banking and specialty finance, as well as companies in the manufacturing, technology, life sciences and telecommunications industries. Mr. Kelson has substantial experience in corporate finance transactions, including the representation of issuers and underwriters in numerous public and private offerings of equity and debt. He also has represented a significant number of acquirers and targets in mergers and acquisitions transactions, including the purchase and sale of publicly traded and privately held companies, their divisions and assets.
Mr. Kelson advises corporate clients and their boards of directors with respect to acquisitions and strategy, corporate governance, corporate finance and various other matters pertinent to their day-to-day legal requirements. Mr. Kelson has published numerous articles covering topics that include recent SEC and stock exchange audit committees rules and requirements, SEC rules regarding securities structured trading plans, developments affecting equity incentive plans, and institutional activism in the proxy process.
