Ms. Oldham is a partner in the Corporate Finance Department. She concentrates her practice in commercial lending and workout and restructuring. She has extensive experience representing financial institutions (as well as borrowers) in major and middle-market lending transactions. Her practice also includes representing financial institutions and other creditors in out-of-court restructurings and liquidations as well as in bankruptcy court. Recent representations include: Generally, lenders and borrowers in numerous syndicated large-cap and middle-market lending transactions, including subordinated and mezzanine financings including: Representing the agent in connection with a $260 million syndicated first lien facility and the intercreditor arrangements with both second lien and mezzanine debt facilities Representing the agent in connection with a $50 million first lien revolving loan to a receivables factoring company Representing the lender in connection with a $22 million acquisition term loan Representing the agent in a $1.5 billion unsecured syndicated revolving facility which provided credit support to borrower’s commercial paper program Generally, lenders and borrowers in the restructuring and refinancing of troubled loans and debtor-in-possession loans including: Representing the agent in connection with the workout and restructuring of a $50 million first lien facility with U.S. and Canadian borrowers, multiple currencies and several different tranches of senior and subordinated debt Representing the agent in connection with the workout of a $25 million loan and the out-of-court liquidation of the assets of the failed borrower Representing the lender in connection with an $80 million DIP financing to a bankrupt retail sales company. |
