Lisa Lauer is an associate in the firm's Corporate, Securities & Tax Group. Her experience encompasses a broad range of corporate and securities matters, including representing companies in connection with mergers, acquisitions, divestitures, joint ventures and other complex transactions; advising clients in connection with public and private offerings of securities, follow-on offerings, registered debt offerings, tender offers and going-private transactions; drafting registration statements, prospectuses, private placement memoranda and other offering materials; and drafting a wide array of business contracts, including licensing, distribution, employment and non-competition agreements. Ms. Lauer also advises and assists clients on matters involving entity formation and organization, compliance issues and corporate governance. Ms. Lauer is admitted to practice in Illinois. While attending the University of Michigan Law School, she served as an executive editor of the Michigan Journal of Race & Law and board member of the Women Law Students Association.
