Li-An Leonard joined Duckor Spradling Metzger & Wynne as a business transaction attorney in 1988. Li-An provides general business advice to clients in the areas of employment, purchase and sale of businesses, real estate, leases, secured transactions, commercial loan documentation, intellectual property and environmental issues.
Advising employers and employees in connection with potential unlawful discrimination and harassment claims, as well as assisting employers in complying with various employment regulations, including wage and hour laws, the Americans with Disabilities Act, Family and Medical Leave Act/Family Rights Act and the Fair Employment and Housing Act comprises a significant portion of Li-An's practice. Additionally, Li-An reviews and prepares employment agreements, confidentiality/nondisclosure agreements, noncompetition and nonsolicitation agreements, severance and release agreements and employee handbooks. In her practice, Li-An also represents tenants and landlords in the review and preparation of commercial leases, as well as prepares and negotiates real property purchase and sale agreements on behalf of buyers and sellers. She also advises clients in connection with environmental issues which arise in the purchase and sale of real property and the financing of environmentally impaired real property. She has been successful in assisting clients in applying to and receiving reimbursement from the California Underground Storage Tank Cleanup Fund, a fund established to assist underground storage tank owners with costs associated with investigation and remediation activities related to petroleum releases from underground storage tanks.
Li-An graduated from Point Loma College in 1980, magna cum laude, and in 1986 graduated from the University of San Diego School of Law. While attending law school at night, Li-An worked full time during the day for a local mortgage banking company and gained experience in commercial loan documentation. She prepares, reviews and negotiates the terms of various loan documents (such as promissory notes, deeds of trust, security agreements, assignments, environmental indemnity agreements, guarantees and financing statements) in connection with the lending or borrowing of money by clients. |
