Krystian Czerniecki joined Sullivan & Cromwell in 1995 and is a partner in the Frankfurt office, where he has been resident since 2001. Prior to joining the Frankfurt office, Mr. Czerniecki practiced in the Firm's Paris office. He speaks German, French and Portuguese. Mr. Czerniecki has broad equity and debt capital markets experience, including leveraged finance, having acted in numerous international securities offerings. Selected Transactions Mr. Czerniecki's recent experience includes acting for the underwriters in the the IPOs of: Strabag (construction); HHLA (port operations and logistics); Tognum (diesel engines and drive systems); Symrise (fragrance and flavorings); OpenBC (online business contact network); Petrotec (biodiesel); Smartrac (RFID inlays); Klöckner & Co. (multimetal distribution); Demag Cranes (industrial and harbor cranes); Patrizia (real estate); and Wincor Nixdorf (IT solutions). Mr. Czerniecki has also acted in the recent rights offering of Merck, Conwert Immobilien Invest and Eco Business-Immobilien and for the underwriters in high yield bond offerings by NTL (cable), Jenoptik (facilities engineering, photonics) and Vivendi Universal (telecommunications, media, entertainment) as well as in numerous global equity and debt offerings by Deutsche Telekom (telecommunications). On the issuer side, Mr. Czerniecki has represented, among others, Partners Group (alternative asset management), Interhyp (mortgage brokerage) and Paion (biopharmaceuticals) in their respective IPOs, Altana (pharmaceuticals, chemicals) in its stock exchange listing, Swisscom (telecommunications) in its IPO and a variety of sovereign issuers, including KfW, in connection with their debt programs. Mr. Czerniecki has advised corporate clients and their financial advisors in cross-border M&A transactions involving the telecommunications, banking, accounting and life sciences industries, among others. In addition, Mr. Czerniecki regularly advises investment banking clients on securities trading matters and a variety of foreign private issuers on U.S. securities law and corporate governance requirements. |
