Kris focuses his practice on securities and capital markets and general corporate law matters. He has represented both publicly-traded and privately-held companies in a range of transactions, including initial public offerings, private placements of debt and equity securities, cash and stock mergers, and asset purchases and sales. In addition, he has counseled start-up companies and venture capital firms in private equity financings. A significant portion of Kris’ practice includes counseling clients on the ongoing reporting requirements of public companies, corporate governance matters and various other matters affecting public companies and their officers and directors. While at Georgetown University Law Center, Kris authored a case note for The Tax Lawyer: S Corporation Prohibited from Adjusting Earnings and Profits Account to Reflect Actual Contract Costs: Broadaway vs. Commissioner (Spring 1998). He is also a member of the American, Massachusetts and Boston Bar Associations. Kris was an associate with Hale and Dorr LLP in Boston, Massachusetts prior to joining Calfee in 2004. |
