Representation of UAP Distribution, Inc. in the acquisitions of agriculture companies located throughout the United States.
Merger of StorePerform Technologies, Inc. for cash with a wholly-owned subsidiary of RedPrairie Corporation.
Purchase by MainSaver, LLC for cash of 40% of the outstanding stock of Cempipe Holding, B.V., a Dutch private company, and related secured lending facility.
Sale of stock of Automatic Entrances of Colorado, Inc. for cash to The Stanley Works, Inc.
Representation of CC Tollgate LLC, a joint venture with Century Casinos, Inc., in the negotiation of a Construction Term Loan and Revolving Credit Facility.
In addition, Kourtney assists investment management clients in complying with the Investment Company Act of 1940, the Investment Advisers Act of 1940, other federal and state securities laws, and related self-regulatory organization rules.
