Kimberly K. Rubel practices primarily in the securities, financing and general corporate areas. She has represented a variety of corporations in public and private offerings of equity and debt securities. She regularly advises public companies regarding ongoing disclosure and compliance issues under the federal securities laws, as well as corporate governance issues. These clients operate in a broad range of industries, including diversified manufacturing, telecommunications, pharmaceutical and retail. Kim also has represented investment banks and underwriters in public securities offerings and as financial advisers.
In addition, Kim advises institutional investors in their purchase of privately placed debt securities, as well as issuers in their offer and sale of these securities. In this area, she has experience with master note agreements, amendments and waivers, restructurings, intercreditor issues, collateral and cross-border transactions.
Kim is a member of the Federal Regulation of Securities Committee of the American Bar Association and the American College of Investment Counsel.
Prior to attending law school, Kim was a financial analyst in the corporate finance department of Kidder, Peabody & Co. Incorporated. While at Kidder, Peabody, she was involved with the analysis and execution of public and private debt and equity financings, mergers and acquisitions, leveraged buyouts and corporate restructurings. |
