Kevin MacLeod is an associate in the Global Securities Group and is based in the London office. Mr. MacLeod has focused on representing issuers and underwriters in connection with domestic and international securities offerings, including registered offerings, exempt offerings under Rule 144A and Regulation S, high yield bond offerings, IPOs and private placements. He has represented investment banks, sponsors, investment funds and public and private companies in connection with leveraged financings.
More broadly, Mr. MacLeod's experience includes domestic and international M&A transactions involving public and private companies. He has advised clients on derivative transactions, notably for strategic stakebuilding in the M&A context. He has represented U.S. and foreign companies with respect to periodic reporting with the Securities and Exchange Commission and compliance with U.S. securities laws, particularly the corporate governance and disclosure requirements of the Sarbanes-Oxley Act.
Mr. MacLeod is a graduate of the Faculty of Law at McGill University, where he was Editor-in-Chief of the McGill Law Journal. During his final year, he studied international and comparative law at Universiteit Maastricht in the Netherlands. He obtained his Bachelor of Arts degree at Concordia University, where he was a member of the Liberal Arts College.
