Mr. Cudney is a Shareholder in the Denver office of Brownstein Hyatt Farber Schreck and co-chair of the firm’s Corporate & Business Department. His practice focuses on mergers and acquisitions, private equity, public and private securities offerings, capital formation and securities advice (including SEC compliance) and complex business transactions. Mr. Cudney’s clients include large and middle-market businesses, private equity funds, investment banking firms and emerging technology and biotechnology companies. Mr. Cudney is lead counsel on a diverse range of transactions. He has recently represented Carl Icahn and American Real Estate Partners in the sale of their gaming holdings, including the Las Vegas Stratosphere Hotel and Casino, to Whitehall Street Real Estate Funds, a private equity affiliate of Goldman Sachs & Co. Over the past two years, Mr. Cudney has represented national and regional private equity and mezzanine debt firms in portfolio investments totaling more than $5.5 billion. He represented Ares Management Corp. and Columbus Nova Partners, as private equity sponsors, together with industry partner White Energy Inc., in the acquisition of three ethanol production facilities. Mr. Cudney has also represented the minority owner of the world's largest potash mine in the sale of its LLC interest. Mr. Cudney's broad transactional experience includes representing a financial services consolidator in a roll-up of residential mortgage originators, the controlling shareholder of a custom RNA chemistry company in the company’s disposition, a software-based customer retention strategies company in its organization and funding, a proteomics-based medical diagnostics company in multiple financing rounds and strategic investments, a regional venture capital fund in its formation and funding, and the purchaser in a leveraged buyout of a division of a Fortune 100 consumer products company. Cudney is a major contributor to the Colorado state-wide technology incubator. He lectures frequently to entrepreneurs and start-up businesses on capital formation, strategic alliances and commercial development issues. Prior to joining the firm in 2004, Mr. Cudney was a senior partner and the regional corporate practice group head of Arnold & Porter’s Denver office. |
