Mr. Goldberg has extensive experience advising businesses on their formation and operation as corporations, partnerships, limited liability companies and joint ventures. In his practice, he structures reorganizations, including mergers and acquisitions, spinoffs and recapitalizations.
Additionally, Mr. Goldberg plans capital structures in venture financings, fund formations and partnership transactions, and for his clients, he creates tax-efficient restructurings, debt workouts and bankruptcy reorganizations. His practice also includes advising on tax-advantaged compensation arrangements, including restricted stock grants, incentive stock options, non-qualified stock options and profits interests. Mr. Goldberg handles federal and state tax controversies at the audit, appeals and trial levels.
