Keith Sigale is a principal in the firm's Corporate, Securities & Tax Group. He provides counseling to businesses, as well as business owners and investors, in a wide array of industries. He is routinely retained for discrete business transactions as well as for the day-to-day counseling needs of his clients. Mr. Sigale is experienced in a broad range of transactions, including mergers and acquisitions, corporate dispositions, securities issuances and filings, private equity investments, bond transactions and corporate finance deals. Examples of recent transactions in which he has served as corporate counsel include the sale and acquisition of significant companies in the manufacturing, retail and health care industries, the representation of borrowers in the financial, manufacturing and services industries to obtain bank and other third party financing, the management buyout of a services company, the representation of issuers, borrowers and underwriters for various municipal bond offerings, securities filings and advice for a public cooperative and other SEC registrants, the representation of investors for venture capital transactions in the technology industry, and the leveraged buyout of several manufacturing companies. Mr. Sigale is skilled at drafting, analyzing and negotiating all types of commercial contracts and complex agreements. Mr. Sigale also provides legal advice and serves as a board member and in other volunteer capacities for several non-profit organizations. Mr. Sigale is a certified public accountant.
