Joseph Probasco’s practice focuses on corporate law, securities law, taxation, mergers, acquisitions and franchise law. He regularly handles matters involving state and federal securities laws and advises companies concerning compliance with the Securities Act of 1933 and the Securities Exchange Act of 1934, including preparation and review of private placement memorandums, registration statements, annual and quarterly reports, current reports, proxy statements and ownership reports. His experience includes negotiating and drafting stock and asset purchase agreements, merger agreements, franchise agreements and employment contracts. Mr. Probasco also represents clients before the Internal Revenue Service and state taxing authorities in a variety of tax matters.
