Jon S. Robins is a partner in the Real Estate and Finance Department. His practice includes a full range of real estate finance and real estate activities for conduit and institutional lenders, fund managers, developers, corporations and investors.
Mr. Robins has extensive experience representing capital market lenders in the origination of mortgage loans destined for securitization, in whole loan purchases and sales, in loan participations and in structuring, negotiating and documenting mezzanine loans, preferred equity investments and intercreditor agreements. His practice includes the representation of lenders and borrowers in complex loan work-outs and restructurings in Philadelphia and nationally. Mr. Robins is one of the leading attorneys in the country with respect to tenancy-in-common financing.
Recently, Mr. Robins represented a major CMBS lender in its origination of mortgage and mezzanine loans aggregating in excess of $100,000,000 for the financing of a so-called 89/11 transaction for a landmark Center City Philadelphia office building.
Mr. Robins has represented and continues to represent equity investors, including investment funds, investing in real estate and real-estate-related financial assets. He advises both investors and developer/operating partners in joint-venture investments and has extensive experience negotiating partnership and operating agreements.
Mr. Robins has extensive experience representing various developers and institutions in the acquisition, development, repositioning and disposition of real estate, including retail centers, multi-family properties and office buildings.
Mr. Robins advises companies on strategic real estate decisions, and he has extensive experience representing both acquirers and acquirees with respect to the real estate aspects of corporate M&A transactions, including the subdivision and leaseback of significant industrial property. Recently, Mr. Robins represented a regionally based, NYSE listed REIT with respect to the real estate aspects of its merger with another NYSE listed REIT.
Mr. Robins has a sophisticated leasing practice. Mr. Robins has negotiated numerous leases on behalf of companies for their corporate headquarters and regularly represents businesses leasing office and industrial space. He has substantial experience representing landlords and tenants in the lease of retail space.
