John has been a partner at Faegre & Benson since 2000. He serves as general business, corporate and transactional counsel to emerging and established companies, both private and public.
John's practice focuses primarily in the areas of mergers & acquisitions, financings and joint ventures, strategic alliances and commercial contracts.
Mergers & Acquisitions. John has represented buyers (both financial and strategic), sellers, targets, investors and senior management in connection with mergers, acquisitions, dispositions and recapitalizations, including leveraged buy-outs, management buy-outs and other transactions involving complex, multi-tiered financings.
Financings. John has represented issuers and investors in connection with private placements, private equity, venture capital and institutional debt financings, issuers in connection with public debt offerings and lenders and borrowers in connection with secured and unsecured credit facilities, securitizations, project finance and other complex financing transactions.
Joint Ventures, Strategic Alliances and Commercial Contracts. John has represented parties to joint ventures and strategic alliances and a variety of commercial contracts, including billing, call-center, customer care and other outsourcing agreements, project development agreements, LLC and operating agreements, operation and maintenance agreements, option agreements, dealer and distributor agreements, product distribution and marketing agreements, e-commerce alliances, franchise agreements and licenses.
Prior to moving to Colorado in 1995, John was a Corporate and Securities attorney with the New York office of Dechert, Price and Rhoads.
