John Haveman is a member of the firm's corporate practice as well as its executive compensation practice. He focuses primarily on executive compensation, public company reporting and general corporate counseling.
Prior to joining Faegre & Benson, John was associate general counsel and corporate secretary at Ceridian Corporation, assistant general counsel at Nash Finch Company, and provided legal services as an independent consultant to General Mills, Inc. and Medtronic, Inc.
John has significant experience advising both publicly- and privately-held clients in connection with compensation plans for executives, key employees and outside directors, including equity-based compensation plans, change-in-control arrangements, deductibility of executive compensation and the application of Section 409A deferred compensation rules.
He also has extensive experience counseling public companies in connection with ongoing SEC reporting and compliance matters, stock exchange listing requirements, trading and disclosure practices, corporate governance matters, Rule 144 restricted and control securities transactions and Section 16 reporting and "short-swing trading" issues.
On a pro bono basis, John has represented a local nonprofit that provides services to low-income families and low-income immigrants in naturalization proceedings. |
