Description of Practice:
Joe M. Davidson is a partner in the firm's Del Mar Heights office and Chair of the Corporate Practice group in the Del Mar Heights office. He has extensive experience in mergers and acquisitions in the representation of emerging technology companies in such fields as medical device, healthcare services, computer software, consumer products, Internet, e-commerce and telecommunications. He has represented companies from a broad range of industries as well as major national venture capital firms and underwriters in public and private financings of debt and equity securities, mergers and acquisitions and partnering arrangements. He has also worked on a number of restructurings and bankruptcy reorganizations involving privately held and public companies, and pension advisors. Joe is experienced in structuring venture capital transactions and providing day to day business counseling to assist emerging companies through their growth cycles. He has vast experience in negotiating and documenting strategic partnering arrangements, patent, trademark and technology licensing agreements, proprietary information protection agreements, joint technology development, sales representative, and distribution agreements and technology access, trade secret and privacy issues. Companies also rely upon his counsel and expertise in developing executive compensation, consulting and employment agreements and preparing stock purchase and stock option plans. He also works with publicly held companies, assisting them in compliance issues and with the preparation of annual reports, proxy statements, 10-Ks and other SEC reporting documents.
He is a member of the Executives Association of San Diego, Inc., UCSD Connect Program, Corporate Directors Forum, San Diego Venture Group, American Bar Association, State Bar of California and Business Law and Technology Sections of the San Diego County Bar Association.
Educational History:
Mr. Davidson graduated from the University of Southern California with a B.S., magna cum laude and Beta Gamma Sigma, in investments in 1976. He received his J.D. from Loyola Law School, Los Angeles in 1979. |
