Jennifer Schaefer joined Joele Frank, Wilkinson Brimmer Katcher in September 2000. She works closely with her clients and their advisors to develop and implement strategic financial communications for a broad range of special situations including friendly mergers and acquisitions, unsolicited takeovers, proxy contests, management changes, accounting irregularities, earnings restatements and restructurings.
Mrs. Schaefer’s recent projects include advising Coeur d’Alene Mines on its cross-border acquisition of Bolnisi Gold NL and Palmarejo Silver and Gold Corporation; Finish Line on its acquisition of Genesco; Lone Star Technologies on its acquisition by United States Steel Corporation; Bancorp Rhode Island on its defense against a proxy contest initiated by PL Capital; Atmel on its successful proxy contest against founder and former President and Chief Executive Officer, George Perlegos; SIRIUS Satellite Radio on its merger with XM Satellite Radio; the Chandler Trusts in connection with its investment in the Tribune Company; Pilgrim’s Pride on its successful acquisition proposal for Gold Kist; and HealthSouth on its strategic repositioning.
Her transaction experience includes advising Boston Scientific on its successful acquisition of Guidant and opposition to Johnson & Johnson’s competing bid; Unocal on its acquisition by Chevron and opposition to CNOOC's competing bid; Verizon on its pending merger with MCI and opposition to Qwest’s competing bid; Brocade on its acquisition of McDATA; NRG Energy on its acquisition of Texas Genco and its defense against an unsolicited proposal from Mirant; Ligand Pharmaceuticals in response to Third Point; Spectrum Pharmaceuticals in response to Xmark; Creo Inc. on its proxy contest, review of strategic alternatives and subsequent acquisition by Eastman Kodak Company; Penn National Gaming on its acquisition of Argosy Gaming; International Multifoods on its merger with The J. M. Smucker Company; Pilgrim’s Pride on its acquisition of ConAgra Food’s Chicken Division; National Golf Properties and American Golf Corporation on their sale to a consortium of private investors; eUniverse’s successful proxy contest against founder and former Chairman, Brad Greenspan; Conoco on its merger with Phillips Petroleum; and VISX’s defense against multiple proxy contests initiated by Carl Icahn.
Among Mrs. Schaefer’s ongoing investor and public relations clients for whom she manages and provides support are Brocade Communications, Coeur d’Alene, Darling International, Dover Corporation, Kansas City Southern, Pilgrim’s Pride Corporation and Sealed Air. In addition to providing quarterly earnings support and advising on shareholder, customer and employee outreach, Mrs. Schaefer frequently conducts analyst / investor perception studies and helps companies prepare for and manage successful investor events.
