Jennifer Mewaldt is a partner in the corporate group of Faegre & Benson. Her primary practice areas include debt and equity financing, business acquisitions and dispositions, securities regulation and general corporate counseling.
Jennifer has represented institutional lenders and venture capital and other investors, as well as borrowers and issuers, in numerous secured and unsecured private debt and equity financings and Rule 144A transactions. In connection with her financing practice, she has developed an expertise in subordination and inter-creditor issues. Clients represented by Jennifer in this area include Churchill Capital Partners, Norwest Mezzanine, Norwest Equity Partners, BUCA, Gelco Information Systems, Graco, SPS Commerce and Land O' Lakes.
Jennifer has extensive experience in representing buyers, sellers and investors in business acquisitions and dispositions. These transactions have involved a wide variety of structures and forms, including mergers, and purchases and sales of stock and assets. A number of these acquisitions have been leveraged buy-outs of public corporations involving the solicitation of proxies and attendant issues under federal securities laws, and several of these acquisitions have involved the purchase of assets from financially distressed or bankrupt sellers. Clients counseled by Jennifer in this area in the past include Land O'Lakes, Minntech, Holden Direct Marketing and International Multifoods Corporation.
As part of her securities regulatory practice, Jennifer regularly counsels public clients and their officers and directors with respect to ongoing reporting and compliance matters, including preparation of periodic reports and proxy statements, and compliance with Rule 144 and Section 16 stock trading and reporting requirements.
In connection with her general corporate practice, Jennifer has represented and advised corporations and their directors, officers and shareholders regarding corporate reorganizations, corporate governance matters, shareholder buy-sell arrangements and other inter-shareholder issues, stock-based employee benefit plans, corporate distributions and similar matters.
Jennifer also serves as Faegre & Benson's opinion policy partner and, in that capacity, advises members of the firm in the rendering of attorneys' opinions and responses to auditors' inquiries.
