Practice Mr. Ostrager has been practicing in the corporate and securities law areas since 1981, and with Curtis, Mallet-Prevost since 1985, where he has been a partner since 1989. Mr. Ostrager is co-chair of the Firm's Securities Practice Group. He has a broad range of corporate and securities law experience, including general representation of public companies. Among recent principal client relationships are the following: Mr. Ostrager headed the spin-off of The Dii Group from Dover Corporation in 1993 and acted as The Dii Group’s principal outside counsel from 1993 until the acquisition of The Dii Group by Flextronics International in 2000. Mr. Ostrager was principally responsible for representing The Dii Group in its equity and debt offerings, mergers and acquisitions, and securities filings as the company’s market capitalization grew from approximately US$90 million to US$4.8 billion. Mr. Ostrager provided advice to the company’s Board on corporate governance and the Board's fiduciary duties on a range of transactions. Mr. Ostrager currently acts as lead securities counsel for Flextronics International, the world’s largest provider of advanced electronic manufacturing services, with annual revenues of over US$16 billion. Curtis represents Flextronics International in a broad range of matters, including capital markets and mergers and acquisitions. For over ten years, Mr. Ostrager was principally responsible for advising Grupo TMM, a Mexican transportation and logistics company, on the company’s equity and debt offerings and securities filings. This representation included TMM’s initial listing on the NYSE in 1992 and representation of TMM in connection with TMM’s bid to acquire Grupo Transportacion Ferroviaria Mexicana in the privatization of Mexico’s rail system in 1997. Following TMM’s successful acquisition of Grupo TFM in the privatization, Mr. Ostrager represented Grupo TFM in a number of debt offerings and restructurings and in the preparation of Grupo TFM’s securities filings. Since 1996, Mr. Ostrager has been principally responsible for advising Century Aluminum Company on the company’s equity and debt offerings and securities filings. This representation has included Century’s IPO in 1996 and the company’s recent acquisitions. Mr. Ostrager has been working with these and other Firm clients on corporate governance and compliance programs in responding to the recent Sarbanes-Oxley legislation, new SEC regulations, and new listing standards of the NYSE and NASDAQ. Other representative matters include representation of the Air Transportation Stabilization Board in its loan guarantee program for U.S. air carriers; and representation of a Spanish company’s acquisition of a 70% equity ownership position in a U.S. public company.
