Jeffrey (Jeff) N. Carp is an executive vice president and the chief legal officer of State Street. As such he heads State Street's legal regulatory compliance credit and risk and community affairs functions globally. He is also a member of State Street's Operating Group.
Prior to joining State Street Mr. Carp served as General Counsel at MFS Investment Management® (MFS®) for approximately two years. Mr. Carp joined MFS as part of a new management team that was hired to help MFS through the mutual fund industry crisis that arose in late 2003 and to help build MFS' legal department. At MFS Mr. Carp was Chairman of MFS' offshore funds chaired the Policy and Proxy committees and was a member of the Extended Operations Internal Compliance Controls Strategic Alliance Securities Valuation Code of Ethics New Products Portfolio Trade Oversight and Sarbanes-Oxley Certification Committees.
From 1982 until early 2004 Mr. Carp was an attorney in the Corporate Department of Hale and Dorr LLP currently Wilmer Hale a law firm with offices in 12 cities in the United States and Europe. Mr. Carp was a Senior Partner at Hale and Dorr since 1989 and served on a variety of firm committees including past service on the Executive Committee and as the Chair of the Corporate Department Opinions Committee. Mr. Carp had a transactional corporate and securities practice representing a large variety of public and private companies with a practice emphasis on securities law compliance mergers and acquisitions and the representation of financial institutions.
Mr. Carp has lectured to legal and professional organizations and participated on panels at industry conferences on Sarbanes-Oxley legal opinions soft dollars regulatory examinations and other corporate and securities law topics. He currently serves as a Director of the ICI Mutual Insurance Company and in 2005 completed service on the Board of Directors for Project Bread - The Walk for Hunger.
Mr. Carp received a Bachelor of Science degree in mathematics and economics from Tufts University where he graduated magna cum laude and a law degree with honors from George Washington University National Law School where he served on the Law Review. Mr. Carp is a member of the American Massachusetts and District of Columbia Bar Associations.
