James Golden provides communications counsel for clients across a wide spectrum of industries involved in friendly mergers and acquisitions, unsolicited approaches, dissident shareholder campaigns, proxy contests, earnings restatements, restructurings, litigation support and other special situations.
Mr. Golden’s transaction experience includes, Metal Management’s merger with Sims Group; Topps’ acquisition by Michael Eisner’s Tornante Company and Madison Dearborn Partners; CommScope’s acquisition of Andrew Corp.; The Finish Line’s acquisition of Genesco; Basic Element’s/Russian Machines’ strategic investment in Magna International; Clear Channel’s acquisition by Thomas H. Lee and Bain Capital; US Airways’ unsolicited takeover proposal for Delta Air Lines; NRG Energy’s defense against an unsolicited proposal from Mirant; Public Storage’s acquisition of Shurgard Storage; adidas-Salomon’s acquisition of Reebok; and Sovereign Bancorp’s acquisition of Independence Community Bank.
He has advised numerous companies facing dissident shareholders and proxy contests, including Sybase’s and Fair Isaac’s responses to Sandell Asset Management; Topps in its responses to Pembridge and Crescendo; GenCorp’s proxy contest with Pirate Capital; and K Capital Partners’ contest with OfficeMax. In addition, Mr. Golden also spent time in South Korea during KT&G’s defense against Icahn Partners’ and Steel Partners’ proxy solicitation, and also assisted Tesoro Corp. in its response to Tracinda’s/ Kirk Kerkorian’s bid for a 20 percent stake in the Company.
Mr. Golden’s crisis assignments include The Mills Corp. in its financial restatements, and Krispy Kreme Doughnut Corp. in which he served as investor- and public relations spokesperson during the Company’s two-year financial restatement process. He currently serves in an ongoing investor relations capacity to Metal Management, NRG Energy, Snap-On Tools, Sun Trust Banks and TIAA-CREF.
Mr. Golden joined Joele Frank, Wilkinson Brimmer Katcher in March 2005. Previously he worked in Deutsche Bank’s Institutional Client Sales Group, and prior to that he was with Standish Mellon Asset Management of Boston on its fixed income trading desk. Mr. Golden graduated from Northeastern University with a B.S. in Organizational Communications. |
