M. James Benes is an associate practicing in corporate, private equity and securities law. He has experience in the formation, conversion and governance of domestic and foreign entities, including corporations, limited liability companies and partnerships. Mr. Benes also assists entities in mergers, asset and equity acquisitions and dispositions, credit facilities and other general corporate matters. He has drafted, reviewed and revised contracts, agreements related to mergers and acquisitions and has substantial experience related to the due diligence process of mergers and acquisition. He has drafted, reviewed and revised securities filings under federal and state securities laws and has experience in the resale of restricted securities. Mr. Benes has advised clients at and participated in shareholders' meetings and provided legal analysis for board of directors' meetings. He also has experience in international corporate matters, including international marketing agreements and business relationship arrangements. Mr. Benes has also presented Continuing Legal Education programs to lawyers and clients on the new Texas Business Organizations Code.
