Jim Hale has served as lead counsel in numerous complex financing and corporate transactions. His financing experience includes serving as lead counsel in transactions involving syndication, participation, and multiple currencies. He has structured and closed many multi-tiered facilities for funding acquisitions, which have included senior debt, mezzanine, and private equity. He regularly drafts and negotiates intercreditor and subordination agreements, provides counsel concerning secured transactions, and issues legal opinions. Jim has also represented businesses in sales and acquisitions and in recapitalizations. He has advised principals of acquired companies on the terms of structured buyouts, retained ownership interests, incentives, and employment terms. He serves as general counsel to a number of businesses and provides daily corporate governance and contract advice Jim served on the steering committee and as chairman of Virginia’s Technology Capital Access Forum, currently serves on the Board of Governors of the Business Law Section of the Virginia State Bar, and was recognized among the top 20 under 40 by the Blue Ridge Business Journal.
