Jim Tramonte concentrates his practice in the area of business law with special emphasis on tax and business planning involving corporations, partnerships, joint ventures and limited liability companies. Mr. Tramonte most recently provided tax planning and counsel in connection with a $463Million acquisition for a European client involving due diligence issues, negotiation of tax related provisions and structuring acquisition vehicles for the acquired global business. He advises businesses in all stages of growth, including negotiation of mergers and acquisitions, forming strategic partnerships, starting up new divisions and opening new locations, identifying sources and negotiating financing agreements, structuring executive incentive compensation arrangements, and disposing or closing troubled or unwanted businesses. He has previously served as General Counsel of a $200 Million health care service provider and then as Chief Legal Officer of its $40 Million public company spin-off. He then served as General Counsel of a premier home service provider making acquisitions that resulted in revenue growth from $22 Million to $85 Million. He was then promoted to Executive Vice President with executive operational responsibilities. This experience enables Mr. Tramonte to advise the firm's clients with the perspective of an executive decision maker and has resulted in his reputation for taking a practical and astute approach to balancing business opportunities with legal risks.
