Irwin Balaban, a co-founder of our company, has been Chairman of the Board since 1983. From 1983 until his retirement in March 1999, he was President and Chief Executive Officer of our company. Since March 1999, he had been providing consulting services to us. In his capacity as a consultant, in July 2001, Mr.
