Hugh McDonald is of counsel to the firm.
He has substantial experience in transactional matters, with particular emphasis in real estate, business, and intellectual property law. He will represent the firms clients in a number of areas including all aspects of real estate practice (acquisitions, dispositions, exchanges, financings, leasing, development, construction, and workouts), legal issues relating to the formation and operation of business entities, technology licensing and transfers, trademarks, trade secrets, copyrights, co-branding agreements, manufacturing and distribution agreements, strategic alliances, portfolio transactions (both debt and equity), asset-based lending, corporate governance, securities compliance, stock option/stock purchase agreements, venture capital, franchising, general business counseling, creditors rights, litigation settlement, and alternative dispute resolution.
Prior to joining Kahn, Soares & Conway, McDonald practiced with other firms in California and Texas, including two of the largest international law firms in the nation -- Jones, Day, Reavis & Pogue and Baker & Botts, LLP.
McDonald spent two and one half years on reserve duty in a combat support engineering company of the United States Army Corps of Engineers, where he was a construction project supervisor and project planner respecting the construction of temporary fire bases, expedient field fortifications, and tactical petroleum and water distribution systems.
McDonald has served as an arbitrator on the American Arbitration Association's Commercial Panel and arbitrated real estate, franchise and business disputes. He is also a trained mediator.
At one point in his career, McDonald held senior executive positions in a group of family-controlled businesses (Treasurer, Vice President, and Secretary), two of which were publicly held companies (NASDAQ). One manufactured computer-controlled electronic instrumentation for the defense, aerospace and telecommunications industries and the other a closely-held real estate development and management company. In each he was responsible for all accounting and audit functions, the banking relationships, shareholder relations, and administration of pension, stock option and executive compensation plans.
McDonald is a member of the State Bar of California and State Bar of Texas. He is admitted to practice before the U.S. Supreme Court, U.S. Tax Court, U.S. Courts of Appeal for the Fifth, Ninth, and District of Columbia Circuits, U.S. District Courts for the Southern District of Texas and for the Central, Southern, Northern and Eastern Districts of California.Education
