Hugh Wellons is a partner of LeClairRyan where he focuses on corporate law, securities law (including board compliance matters), mergers and acquisitions, and biotechnology. He counsels a large variety of businesses, including large public companies, small closely-held businesses and financial institutions. He is a member of the Virginia bar and is currently on the task force of the Virginia Bar Association working to revise and recommend for adoption in Virginia the Uniform Securities Act. He is a frequent lecturer on corporate matters, including corporate governance, Sarbanes-Oxley Act, securities law, strategic transactions, business formation, exit strategies, venture capital and other funding concerns, and biotechnology. He regularly counsels companies in connection with corporate governance issues, mergers and acquisitions, securities and regulatory compliance, and biotechnology. Mr. Wellons regularly represents both large public companies and emerging companies. He has been lead counsel on approximately 10 initial public offerings, 5 secondary public offerings, 20 acquisitions of larger companies, and 10 private offerings. He has been lead counsel on approximately 15 financial institution mergers. He has been lead counsel on regulated industry transactions, including transactions in energy and financial sectors. He has prepared Hart-Scott-Rodino filings and other antitrust filings with the Department of Justice. He is the immediate past chair of the American Bar Association Committee on Biotechnology and is senior editor and an author of the ABA book "Biotechnology and the Law: A Primer." Mr. Wellons also was selected in 2007 for "The Best Lawyers In America" for Biotechnology Law.
