Tax and Business Planning

Harlan Stamper has practiced tax and corporation law in Kansas City, Missouri for more than 40 years. He regularly helps clients in a variety of tax matters, including income tax planning, tax compliance (audits), administrative resolution of tax controversies (disputes) and, if necessary, in litigation of tax cases. He also represents clients in a variety of business transactions, including business succession planning, sales of entire business enterprises, mergers and acquisitions, and in corporate and public finance matters.

Mr. Stamper has represented clients in the trial of tax cases in the United States Tax Court, the United States District Courts for Missouri and Kansas, the Missouri Supreme Court, and the United States Court of Appeals for the 8th Circuit. He has been a speaker on tax topics numerous times and was recently published in the book: Inside the Minds: Tax Litigation Best Practices: Leading Lawyers on Audit and Dispute Resolution, Tax Court, Arbitration Strategies, and IRS Investigations. Mr. Stamper authored a chapter of the book (A Look at the Process, Step by Step), focusing on the tax dispute resolution legal process.

Non-litigation administrative resolution of cases with IRS agents; administrative tax dispute resolution with IRS appeals offices and Missouri and Kansas Departments of Revenue auditors and administrative hearings.

Tax Litigation in the U.S. Tax Court, United States District Courts of Missouri and Kansas, United States Court of Appeals and the Missouri Supreme Court.

Income Tax Planning for Individuals and Corporations; including corporate continuity planning and mergers, acquisitions and sales.

Missouri and Kansas Sales and Use Tax audits and appeals.

Employment Tax audits.

Property tax appraisal, reappraisal and appeals.

Mr. Stamper also has an active corporate and public finance and securities practice and is experienced in the preparation of:

S.E.C. registrations under Regulation A and on Forms S-1 and S-11, including IPO’s and secondary offerings and securities registration statements for real estate investment trusts ("REIT's") and the sale of breeding cattle and feeder cattle programs.
