Guy Smith is a seasoned corporate and transactional attorney with over two decades of experience as a lawyer and business person. He has worked on numerous acquisitions, divestitures and financings, as well as complex commercial transactions, in the U.S. and overseas. He also has considerable experience with general corporate matters and compliance-related initiatives, and possesses a significant international trade background.
Guy has served as an in-house counsel at both a large independent power producer (IPP) and a Fortune 50 company. In these roles, he provided legal advice in connection with activities in both the power and water sectors, including project development, joint venture and alliance initiatives, acquisitions and divestitures of operating assets, project financings and operational matters in the U.S. and a variety of other countries in Latin America, Europe, Asia and the Middle East. As in-house counsel, Guy also led negotiations on numerous complex commercial agreements, served as a key point of contact on corporate compliance matters and acted as corporate secretary for a variety of subsidiaries and joint venture entities.
Guy brings a strong business orientation to his legal work. In addition to serving as in-house counsel at an IPP, he spent several years in a senior business role at the IPP where he was the vice president in charge of the company’s Latin American and European operations and the company’s asset divestiture program, and served as a board member on the boards of directors of a variety of the company’s subsidiaries and international joint ventures.
Guy began his legal career in Washington, D.C., where he worked initially as an attorney for the U.S. Department of Commerce and later joined the Washington, D.C. office of the international law firm, Dewey Ballantine.
Raised in Latin America (Ecuador, Venezuela, Peru and Colombia), Guy is fluent in Spanish and possesses good proficiency in French.
