Dispute Analysis Matters
Worked with counsel to investigate allegations of negligence and fraud related to financial representations in a post-acquisition dispute. Investigation identified material accounting errors and discovered evidence suggesting fraudulent transactions were recorded with the likely intent of inflating the selling price of a company via the overstatement of profits. This investigation led to a multi-million dollar civil claim against the acquired company.
Prepared financial analysis and expert report in several post acquisition disputes. Issues involved the appropriate calculation of an earn-out provision working capital analysis and breach of representations and warranties.
Investigated allegations of accounting improprieties financial fraud and embezzlement at a wholesale seafood distributor. Procedures included conducting interviews of former employees advisors and business partners as well as identifying and tracing of fraudulent transactions through accounting records and quantifying impact. The investigation led to a multi-million dollar civil lawsuit.
Engaged by counsel to assist a publicly traded high-tech company analyze alleged damages in an intellectual property dispute and to draft an expert report quantifying alleged damages.
Engaged by defense counsel in business litigation dispute to analyze potential damages of plaintiffs of a class. Procedures included the creation of a database to analyze numerous sales transactions as well as analyze the financial performance of more than seventy automobile dealerships during a six-year period.
Engaged by counsel to examine the trading activity of a brokerage house to determine the extent of fraudulent purchases and sales of marketable securities and to quantify related investor losses.
Supervised and conducted the financial statement audits of numerous private and public companies including initial public offerings and registration statements.
