Practice Areas George focuses his practice on corporate and commercial law, including: Asset-based lending Bankruptcy Business reorganizations Commercial transactions Corporate finance Creditors' rights Distressed sales Equipment leasing General corporate Licensing Mergers and acquisitions Project finance Secured transactions Securities Securitizations Workouts Experience George's commercial practice includes negotiating senior and subordinated financing arrangements, structuring/restructuring debt and credit facilities, and analyzing legal issues arising under the Uniform Commercial Code and the United States Bankruptcy Code. He advises financial institutions and other financing companies on all aspects of structuring, documenting and enforcing secured transactions. In addition, George regularly represents lenders, lessors, funds, committees and business debtors and creditors in all aspects of credit extension, financial workouts, restructurings and distressed-sale transactions, preferential and fraudulent transfer litigation, and other various bankruptcy proceedings. George's corporate practice includes advising publicly and privately held companies on matters of corporate governance, debt and equity financings, and intellectual-property licensing transactions. He regularly serves as corporate counsel for businesses in a variety of industries. In addition, he has significant experience representing buyers, sellers and venture capitalists in various complex merger, acquisition, divestiture and joint-venture transactions. George's securities practice includes advising emerging and growth-oriented companies in a broad range of industries in the private offering of debt and equity. A significant component of his corporate and commercial practice is related to development and construction financing for ethanol and biodiesel plants across the nation. George also restructures loans relating to various real estate projects. Previous Experience Before joining Lindquist & Vennum, George served as a staff attorney for the National Bankruptcy Review Commission, which reported to the President, the Congress and the U.S. Supreme Court and made recommendations for reform that were considered in connection with the adoption of the Bankruptcy Abuse Prevention and Consumer Protection Act of 2005. George also served as a judicial law clerk for the Hon. Nancy C. Dreher, U.S. Bankruptcy Judge for the District of Minnesota, and for the Hon. William A. Hill, U.S. Bankruptcy Judge for the District of North Dakota. In addition, he worked as a business analyst for Dun & Bradstreet in Los Angeles, California. Legal Instruction George serves as an adjunct professor of law at the Hamline University School of Law and the William Mitchell School of Law. He is a frequent lecturer on corporate and commercial law subjects and has provided professional commentary for a number of media outlets and periodicals, including Fox News, WCCO Radio, Minnesota Public Radio, the Wall Street Journal, the Minneapolis StarTribune and the St. Paul Pioneer Press.
