Gary B. Gertler is a partner in the law firm of McDermott Will & Emery LLP based in the Los Angeles office. His practice focuses on the representation of hospitals, health care companies, physicians and other health care providers with an emphasis on joint ventures and syndications, mergers and acquisitions, private equity and debt transactions for startup companies, consolidations and reorganizations, regulatory and licensure issues and general health care corporate matters. He works particularly closely with investor-owned and nonprofit hospitals and hospital systems, large and small surgery center companies and developers, management companies, medical supply vendors, medical equipment lessors, large multi-specialty and single-specialty medical group practices, third party payors including HMOs and PPOs and entrepreneurs. Gary’s legal practice also covers the structuring and development of provider-affiliated group practices; ancillary product arrangements, including ancillary services involving outpatient surgery, diagnostic imaging, radiation therapy, rehab services, drugs, DME, home health and complimentary medicine; and management service organizations, practice management companies, integrated provider networks and related arrangements.
Gary belongs to the California State Bar, the United States District Court, Central District of California, and the United States Court of Appeals for the Ninth Circuit. He is also a member of the American Health Lawyers Association and the California Society of Healthcare Attorneys.
Gary is a co-author of Navigating Your Way Through the Federal Physician Self-Referral Law, a comprehensive book analyzing the Stark II laws, now in its fourth edition, and State Laws and Regulations Governing Preferred Provider Organizations, a study published by the Rand Corporation for the Department of Health and Human Services and the Federal Trade Commission.
Gary is listed as a leading individual in health care in California in Chambers USA 2007: America’s Leading Lawyers for Business and in Legal Media Group 2005: Guide to the Leading US Healthcare Lawyers.
While in law school, Gary won the American Jurist Award in Civil Procedure.
Representative Experience:
Assisted many nonprofit and for-profit hospitals and health care systems in connection with their general counsel issues, joint venture transactions, health care compliance concerns, physician relocation arrangements, and other physician contracting needs.
Served as lead transaction counsel in representing a publicly-traded dialysis provider in its divestiture of 73 renal dialysis centers.
Represented a national for-profit hospital system in the syndication of one of its hospitals to physicians on that hospital's medical staff.
Served as lead transaction counsel in representing a publicly-traded for profit health care system in its syndication and/or acquisition of more than a dozen surgery centers, imaging centers, GI labs, and radiation therapy centers.
Assisted a 200-person multi-specialty medical group in developing a stand alone organization, and in structuring and implementing a divestiture strategy from its parent organization.
