Garth Bray is a member of the Firm's M&A Group and has extensive experience in negotiated cross-border transactions. He represented Goldman Sachs Infrastructure Partners and Mediobanca in the recently announced joint venture with Sintonia, a Benetton family infrastructure vehicle; Lightyear Capital in its pending acquisition of Wurtt UK from Wurttembergsiche Versicherung AG and the related creation of a Lloyds insurance syndicate; Akzo Nobel in the disposition of Organon Biosciences; SeaDrill in its acquisition of Smedvig; and Prudential Financial in Dryden Wealth Management s disposition to Fortis. He acts as regular M&A advisor to Philips, including the 2006 sale of its semiconductors business, NXP, to KKR and Silver Lake; the transfer of its computer monitor and flat screen television activities to TPV; the sale of its contract manufacturing unit to Jabil Circuit and related negotiation of a supply agreement; and various other acquisitions, dispositions and joint ventures. He frequently represents Goldman Sachs as financial adviser on M&A matters, including with respect to UniCredito s acquisition of HVB, BBVA in its proposed bid for BNL, Banco Santander s acquisition of Abbey National, Telecom Italia s acquisition of the minority interest in TIM, Almanij in its merger with KBC, and France Telecom in its tender offer for Orange. Other major M&A matters in which Mr. Bray has acted include his representation of Powergen in its acquisition by E.On; KPMG in the sale of its consulting practices in the U.K. and Netherlands to Atos Origin; Royal Dutch Shell in its strategic investment in the China National Overseas Oil Company ("CNOOC") Limited; the French reinsurance company SCOR in its purchase of the reinsurance operations of Groupama and in the creation of Irish Reinsurance Partners, a reinsurance vehicle owned by SCOR and a group of financial investors; Cap Gemini in its acquisition of the consulting business of Ernst & Young; the French waste management unit of Suez in its acquisition of the European and Asia-Pacific operations of Browning-Ferris Industries; Yves Rocher in its acquisition of the direct selling activities of Stanhome Inc.; Rio Tinto in its sale of U.S. Silica; and Rolls-Royce in its acquisition of Allison Engine from Clayton, Dubilier & Rice. Mr. Bray also represented Deloitte Consulting in connection with the effort to separate the global consulting practice from Deloitte Touche Tohmatsu. Mr. Bray was recently named as a leading Corporate/M&A lawyer in Chambers Europe: Europe's Leading Lawyers for Business (2007) and Chambers Global (2007), and has been recognized as a leading Corporate Finance lawyer in Chambers UK (2006 and 2006-07).
