Frederick Wertheim Biography :

Rick Wertheim is a member of the Firm s Financial Institutions Group, specializing in broker-dealer regulation and investment management. In the area of broker-dealer regulation, Mr. Wertheim regularly advises major investment banks and smaller brokerage firms on both transactional and compliance matters. He has counselled several non-US financial institutions on the process of forming a US registered broker-dealer. He has recently advised Archipelago Holdings LLC in its merger with the New York Stock Exchange and its acquisition of the Pacific Stock Exchange. He advised UBS Securities LLC in its acquisition of Schwab Capital Markets LP in 2004. He coordinated on U.S. regulatory approvals for the initial public offering by The Goldman Sachs Group, Inc. and Goldman Sachs subsequent acquisitions of The Hull Group and Spear, Leeds & Kellogg. He advised on the merger of UBS Securities with SBC Warburg Dillon Read. He has also advised on numerous other transactions among broker-dealers including Salomon Smith Barney s purchase of the investment banking business of Schroeder plc; the merger of Archipelago and REDIBook ECN; and the acquisition by Natexis Banques Populaires of Arnhold & S. Bleichroeder Inc. Mr. Wertheim speaks regularly at NASD Institute programs. He is the author of the chapter "Broker-Dealer and Associated Person Registration" in the PLI treatise Broker-Dealer Regulation and co-editor of the definitive treatise on the federal margin regulations, Rechlin on Securities Credit Regulation. Mr. Wertheim s work in the investment management area includes advising public and private investment companies and employees securities companies as well as matters of investment adviser regulation. Mr. Wertheim provides regular advice to the J.P. Morgan funds, the Seligman group of investment companies and other of the Firm's fund clients. He advised UBS AG on the formation of its Dillon Read Capital Management unit and on the subsequent unwind of that business. He also advised on the structuring of TH Lee, Putnam Investment Trust and the Seligman New Technologies Funds, innovative closed-end "interval" funds that brought venture capital opportunities to retail investors, and GS Mezzanine Partners III, the largest mezzanine fund ever raised. Mr. Wertheim also regularly advises clients on the investment management aspects of mergers and acquisitions of financial institutions, including Prudential s acquisitions of American Skandia and of the retirement businesses of CIGNA.
