Erin counsels firm clients on issues relating to private equity fund formation, venture capital investments, security offerings and general corporate law. Her practice is focused on venture capital and private equity fund formation, partnerships and limited liability companies, general corporate matters and securities matters. Erin is experienced in structuring and facilitating the formation of venture capital, leveraged buyout and other private equity funds. She has counseled large and small companies in negotiating and consummating venture capital financing, both equity and debt. She also has represented numerous venture capital financing sources in making their investments, dealing with issues of valuation, corporate governance, management and exit strategies. In addition, Erin has represented issuers and underwriters in connection with initial public offerings, follow-on equity and debt offerings, and Rule 144A and Reg S offerings. Erin’s extensive background also includes public disclosures, routine securities filings, and Securities Act and Exchange Act compliance work for a number of publicly-held clients. Erin is a member of the Columbus Bar Association. She was an associate with the Wall Street law firm of Simpson Thacher & Bartlett, a partner with Testa, Hurwitz & Thibeault in Boston and of counsel for Jones Day prior to joining Calfee in 2005. |
