Practice
Mr. Gilioli is a partner in the International Corporate Department based in the Firm's New York and Milan offices. He concentrates in infrastructure projects, cross-border mergers and acquisitions, corporate reorganizations and commercial contracts.
Mr. Gilioli has worked on numerous major infrastructure projects in Eastern Europe and the former Soviet Union. Recently, he has represented the national oil company of Kazakhstan in the renegotiation of a production sharing agreement relating to the giant Kashagan oil field under the Caspian Sea, as well as the sale of an interest in the “N” Block field exploration and production contracts to two international oil companies. He has also worked on a number of infrastructure projects in Kosovo, including the reorganization of the Post & Telecommunications of Kosovo.
Mr. Gilioli has particular experience in the life sciences area. He represents world leaders in the supply of research and diagnostic equipment and consumables, as well as leading pharmaceutical manufacturers. He has broad experience in the negotiating and drafting of stock and asset purchase agreements, strategic alliances, research and development collaborations, and intellectual property licenses in the life sciences and pharmaceutical fields.
Mr. Gilioli also represents a range of Italian businesses active in the industrial equipment, furniture, food and fashion sectors. He has represented numerous Italian companies acquiring or forming companies in the United States and entering into joint venture agreements, shareholder agreements, and employment agreements, as well as manufacturing, distribution, sales representative and commercial sales agreements.
Mr. Gilioli was recently cited as “Dealmaker of the Week” by The American Lawyer with respect to his representation of the national oil company of Kazakhstan. He has also spoken at seminars on corporate governance and compliance matters in the United States, Italy and Eastern Europe.
Mr. Gilioli is a member of the Bar of the State of New York, as well as the United States District Court for the Southern District of New York and the Court of International Trade.
