Mr. Zinn is Senior Counsel in Brownstein Hyatt Farber Schreck’s Tax and Finance groups. He represents clients in matters involving corporate and partnership taxation, state and local taxation, and corporate acquisition and finance. Prior to joining Brownstein Hyatt Farber Schreck, Mr. Zinn served as managing shareholder at Gelt, Paddison and Zinn, P.C., a boutique law firm in Denver specializing in the resolution of corporate and complex tax issues. He originated, structured and implemented business and tax planning strategies in response to client exigencies. He also identified and utilized planning techniques with an emphasis on mergers and acquisitions of corporate and non-corporate entities, spinoffs and split-ups of business entities, asset acquisitions and divestitures. Additionally, his work included the formation, operation and dissolution of corporate, pass-through and international entities. Mr. Zinn also negotiated on behalf of clients in tax controversies before the Internal Revenue Service and U.S. Tax Court. Mr. Zinn has also worked with Acumenics Research and Technology (Denver); Verner, Liipfert, Bernhard, McPherson and Hand, Chartered (Washington, D.C.); and King & Spalding (Washington, D.C.). In addition, he served as attorney advisor to the Honorable Carolyn P. Chiedchi and Honorable Lasley W. Hamblen, both members of the U.S. Tax Court, Washington, D.C. Mr. Zinn is a frequent lecturer for the Colorado Bar Association on topics such as the proper choice of legal entity for the operation of a business enterprise, international taxation and like-kind exchanges, and the drafting of operating agreements for liability companies. Additionally, he has taught about the taxation of business entities in the graduate accounting program at the University of Colorado, Denver. |
