Douglas R. Brown, a member of the firm, devotes his practice to corporate, mergers and acquisitions, securities, banking and real estate finance matters. Doug has substantial experience representing commercial banks and other lenders in corporate lending transactions including asset-based lending, acquisition financing, equipment financing, working capital lines of credit, letters of credit and tax-exempt revenue bond transactions. He has also represented lenders in commercial real estate financing, including permanent loans for income producing and owner-occupied properties. He has represented lenders in the work out of troubled commercial real estate loans. Additionally, Doug represented community-oriented banks in mergers and various regulatory and capital finance matters.
He is an active participant in the firm’s mergers and acquisitions practice, representing clients in the buying and selling of businesses. Doug has represented businesses in capital raising through private placements and public offerings of securities. For publicly held corporations, he has counseled in securities law reporting compliance and has drafted annual and quarterly reports, proxy statements and Section 16(a) reports. Doug has also been involved in many aspects of merger and acquisition transactions, and regularly advises corporate clients in a variety of matters including the drafting and interpretation of general contracts and licenses, development agreements, and executive employment agreements. |
