Mr. Harmon has nearly 25 years of experience in the following types of transactions:
Public and private offerings of debt and equity securities, including IPOs, Rule 144A offerings, private/public exchange offers, shelf registrations, international offerings and ADRs
Private investment fund and private equity fund formation
Tender offers, exchange offers and stock repurchases
Mergers, acquisitions and joint ventures
Corporate reorganizations, including going private transactions, leveraged buyouts, spin offs, split ups and recapitalizations
Venture capital and mezzanine financing
Mr. Harmon also regularly advises management, boards of directors, audit committees, special board committees and independent directors regarding securities compliance and corporate governance matters, including:
