Mr. Hanmer is Of Counsel at Carrington Coleman. He is primarily a lending, real estate and commercial transactions lawyer and has been involved in a wide variety of transactional matters. He has represented lenders and borrowers with real estate and asset-based loans, including low income housing tax credit loans. In that role, he has handled negotiation and documentation of loans and has been active in enforcement of rights under loan documents. He often assists out-of-state law firms and institutions in addressing Texas legal issues and adapting documents to Texas law. He has represented developers, project owners, and businesses in a variety of transactions, including acquisition and sale of personal and real property, construction of improvements, loan negotiation, documentation and closing, and the operation and maintenance of improvements. He has also represented corporate clients in structuring, negotiating, and documenting financial transactions involving a wide variety of collateral and debt structures including structures involving sale leaseback/synthetic leases. He has been involved in the negotiation and analysis of personal property and real property leases, both for the lessor and the lessee. He has specific expertise in working with issues, agreements, and transactions involving the Uniform Commercial Code (UCC), and especially Articles 2, 2A, 5, and 9 dealing with sales, equipment leases, letters of credit, and security interests, respectively. Mr. Hanmer has represented borrowers and lenders in connection with workouts and loan restructuring, and has assisted litigators in litigation involving a variety of lender liability issues. He also regularly assists litigators in dealing with various real estate, transactional, and UCC issues, including the development of strategy, research, analysis, and brief writing. Mr. Hanmer was admitted to practice in Texas in 1973. |
