Diane's practice focuses primarily on the areas of real estate titles, commercial real estate sales, leasing and development, and commercial lending. In the area of commercial real estate, Diane has represented buyers, sellers, landlords, tenants, lenders and borrowers in all phases of real estate sales leasing and lending transactions, including common area and easement agreements, review of title and surveys and resolution of title defects. She has also assisted owners of office and retail properties with ongoing management issues, such as assignment and subletting, changes in use, construction of tenant improvements, tenant defaults and property damage and insurance issues. Representative transactions include the following: Real estate, land use permitting and related agreements regarding public improvements for 750 megawatt coal fired electric generation station Representation of seller in the sale of a 100,000 acre ranch with a retained gross revenue interest in the development of water rights, secured by a deed of trust Representation of developers and end users of retail and utility property in connection with tax incentive agreements and public improvement fee structures Representation of national restaurant chain in acquiring locations throughout the country through lease or purchase Representation of a private education company in the acquisition and financing through sale-leaseback of multiple school development sites Representation of non-profit organization in construction of its headquarters, including a long-term ground lease and secured bond construction financing Land assembly and land use permitting for multiple utility facility sites for major utility provider Representation of national retailers in acquiring property for retail development, including joint ownership and operating agreements and public and private financing of infrastructure Representation of large corporate real estate users regarding property acquisition, leasing, facility and property management, and disposition of excess property Extensive experience in analyzing and addressing real estate title issues. In the real estate titles area, Diane has represented property owners and lenders in trials and appeals to resolve competing claims to real property. She has an in-depth understanding of statutory and case law regarding conveyancing, documentation and recording of documents. The litigation of real estate title matters and related issues, coupled with extensive experience reviewing title issues on sale and financing transactions, has provided Diane with a comprehensive knowledge of issues relative to title insurance, including available coverages, rights of third parties to coverage, and duties of insurers to its insureds and to third parties. |
