Debra Hoffman is a well-regarded benefits attorney whose practice is focused on issues regarding all areas of ERISA, employee benefit plans, and executive compensation. She especially concentrates on benefits issues that arise in connection with corporate transactions. Debra has considerable experience advising clients relative to:
ERISA and Employee Benefit Plans. Implementation, administration, and termination of pension, profit-sharing, stock bonus, stock purchase, thrift, employee stock ownership, and welfare benefit plans; merger and continuation issues arising in acquisition and sale transactions and corporate restructurings; pension and welfare benefit plan issues arising in lending transactions; and plan matters before the Internal Revenue Service and the Pension Benefit Guaranty Corporation.
Executive Compensation. Representation of corporations and executives in design, drafting, securities, and taxation issues of employment agreements; consulting agreements; severance agreements; stock options and other equity -based incentive compensation arrangements; excess benefit plans; and deferred compensation plans.
Prior to joining Mayer Brown in 1986, Debra worked as a Product Analyst for a financial services firm.
