Mr. Schachter heads Reedland's institutional finance division for private, rapid growth-oriented companies. In that capacity, he structures and arranges institutional equity financing for early, mid- and late-stage private companies, focusing primarily on revenue-based companies whose products or services have had strong adoption in the marketplace. Mr. Schachter also provides extensive advice with respect to business/strategic plans, investor presentations/roadshows and methods to maximize a company's pre-money valuation. Mr. Schachter also structures and arranges institutional debt financing for both publicly traded and private companies. He focuses on recapitalizations that enable companies to grow internally or through acquisitions by structuring loans that create greater cash availability and fewer earnings and other operationally constraining loan covenants. He also focuses on assisting companies in structuring less expensive institutional alternatives to high-yield debt syndications. Mr. Schachter has also worked extensively with a network of lenders that specialize in refinancing companies in turnaround situations or are otherwise in breach of loan covenants where a new lender relationship would benefit the company. Prior to joining Reedland upon its inception in early 1998, Mr. Schachter was a securities and financial institutions transactional attorney for over 12 years (initially with Pillsbury, Madison & Sutro and then as a Partner at a boutique firm based in Los Angeles that specialized in representing financial institutions and broker-dealers). In that capacity, he developed extensive experience and expertise in structuring and negotiating both private and public secondary debt and equity transactions and in negotiating registration statement and related offering material filings with the SEC and other regulatory agencies. Mr. Schachter received an M.B.A. degree in corporate finance from the University of San Diego School of Business where he graduated magna cum laude.
